Association Board Member Responsibilities
Summary
The Association Officers provide leadership and governance for the organization, ensuring that its mission, values, and operations align with its bylaws and legal obligations. The roles include the President, Vice-President, Secretary, Treasurer, At-Large Members, and Immediate Past President. Each position carries distinct responsibilities to support the Association’s goals and maintain operational integrity.
General Requirements for All Positions
- Commitment to the Association’s mission and values.
- Ability to collaborate effectively within a leadership team.
- Understanding of non-profit operations and governance.
President
Responsibilities:
- Preside over all Association and Executive Board meetings.
- Provide regular updates to members on the activities of the President and Executive Board.
- Represent the Association at boards, councils, and public forums as required.
- Ensure compliance with tax documentation and reporting to maintain the Association’s 501(c)(4) non-profit status.
- Strong leadership and communication skills.
- Familiarity with non-profit governance and tax requirements.
Vice-President
Responsibilities:
- Ensure timely publication of meeting minutes and regular updates to the Association’s website.
- Serve as Acting President in the President’s absence.
- Proficiency in documentation and website management.
- Ability to assume leadership responsibilities when required.
Secretary
Responsibilities:
- Maintain accurate and detailed records of all Association, Executive Board, and committee meetings.
- Safeguard the Association’s Articles of Incorporation and Bylaws.
- Issue meeting notices and oversee the security of the Association’s seal.
- Strong organizational and record-keeping skills.
- Knowledge of non-profit governance and documentation standards.
Treasurer
Responsibilities:
- Serve as custodian of Association funds and provide financial reports at regular business meetings.
- Maintain accurate accounts of the Association’s finances, ensuring records are accessible to Officers.
- Deposit funds, disburse payments as directed, and monitor financial transactions.
- File state and federal taxes and notify the Executive Board of legal or financial communications.
- Coordinate annual audits with the designated audit team.
- Knowledge of financial management and accounting.
- Familiarity with non-profit financial regulations and tax filing procedures.
At-Large Members
Responsibilities:
- Support the Association’s mission and values.
- Represent specific sectors in Association business:
- Public Sector: Emergency management expertise for cities, special districts, and municipalities.
- Private Sector: Emergency management expertise for universities, non-profits, businesses, and industries.
- Specialized knowledge in the respective public or private sector fields.
- Strong advocacy and communication skills.
Immediate Past President
Responsibilities:
- Serve as an advisor to the Executive Board.
- Participate as a member of the Executive Board.
- Previous experience as President of the Association.
- Strong understanding of the Association’s operations and goals.
